We make no representation that our services are appropriate or available for use in all locations. If you access our services from outside Japan, you do so at your own initiative and are responsible for compliance with local laws.

If you submit content through our services, such as discussion posts, project submissions, or feedback, you retain ownership of your content but grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and display that content in connection with operating and improving our services. You represent that you have all necessary rights to grant this license and that your content does not infringe upon any third-party rights.

We accept payment methods as specified during enrollment. You are responsible for any fees charged by your payment provider. All sales are final unless otherwise specified in our enrollment policies or required by applicable law. Refund requests are handled on a case-by-case basis according to the circumstances and our standard policies.

We reserve the right to modify our fees at any time. Fee changes will not affect courses for which you have already enrolled and paid, but will apply to future enrollments.

To the maximum extent permitted by law, Vectrix and its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your access to or use of our services.

Our total liability to you for any claims arising from these Terms of Service or your use of our services shall not exceed the amount you paid us in the twelve months preceding the claim, or one hundred thousand Japanese Yen, whichever is less.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the fullest extent permitted by applicable law.

Indemnification

You agree to indemnify, defend, and hold harmless Vectrix, its affiliates, and their respective directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of our services, your violation of these Terms of Service, or your violation of any rights of another party.

Governing Law and Dispute Resolution

These Terms of Service shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law provisions. Any disputes arising from these terms or your use of our services shall be subject to the exclusive jurisdiction of the courts of Tokyo, Japan.

Before initiating any formal legal proceedings, we encourage you to contact us to seek resolution of any disputes informally. Many concerns can be addressed through direct communication.

General Provisions

Severability

If any provision of these Terms of Service is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. The invalid or unenforceable provision will be modified to the minimum extent necessary to make it valid and enforceable.

Entire Agreement

These Terms of Service, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Vectrix regarding your use of our services and supersede all prior agreements and understandings.

Waiver

Assignment
